1. Scope

1.1 This Policy governs sponsored articles and editorial collaborations (“Publication”) produced and published by the Publisher on artwalkway.com and other owned editorial channels.
1.2 Each Publication is an edited feature prepared by the Publisher’s editors and critics. Word count, imagery, layout, and timing remain at the Publisher’s editorial discretion unless otherwise agreed in writing.


2. Fee & Taxes

2.1 Fee: €490 per exhibition Publication (base rate).
2.2 Fees are exclusive of taxes; applicable VAT or local taxes are added where required.
2.3 Bank, card, or FX charges are borne by the Sponsor.


3. Approval & Payment Timing

3.1 Draft → Approval → Invoice → Publication.
3.2 After the Sponsor approves the draft in writing (email suffices), the invoice is issued and payment becomes due.
3.3 Payment term: Net 7 calendar days from invoice date. Publication is scheduled upon receipt of cleared funds. If payment is not received by the due date, the slot may be released without obligation.
3.4 The Publisher may offer prepayment at its discretion.


4. Revisions

4.1 Included: one round limited to factual corrections and clarifications requested within 3 business days of draft delivery.
4.2 Additional editorial changes (tone rewrites, new angles, substantial restructuring) are at the Publisher’s discretion and, if accepted, billed at €120/hour (1-hour minimum).


5. Delivery Window & Scheduling

5.1 Standard scheduling is coordinated after payment. The specific publication date/time and placement are determined by the Publisher to maintain editorial standards and cadence.
5.2 Rush requests (publication requested within 3 business days of draft approval) may be accepted subject to capacity and a +25% rush fee.


6. Cancellations, Postponements & Kill Fees

6.1 Cancellation before draft delivery: 30% of the base fee.
6.2 Cancellation after draft delivery but before approval: 70% of the base fee.
6.3 Cancellation after approval: 100% of the base fee.
6.4 One reschedule is permitted within 60 days of the original target window if requested ≥7 days in advance; additional reschedules incur a 15% rescheduling fee.


7. Sponsor Materials — License & Clearances

7.1 The Sponsor supplies texts, images, video, logos, and other assets (“Materials”) and represents and warrants it has all necessary rights, licenses, and permissions to provide them for the uses described here.
7.2 The Sponsor grants the Publisher a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, adapt, edit, translate, create derivative works from, distribute, publicly perform and display the Materials in connection with the Publication, its promotion, archival availability, and editorial products, in any current or future media or formats.
7.3 Where local law restricts waiver of moral rights, the Sponsor agrees not to assert moral rights against the Publisher’s editorial uses described above to the fullest extent permitted.


8. Publisher Rights (Editorial Control)

8.1 The Publisher retains full editorial control over headlines, copy-editing, context, image selection/cropping, SEO metadata, internal linking, and layout.
8.2 The Publisher may update, annotate, correct, or temporarily or permanently remove a Publication at any time for legal, compliance, or editorial reasons. Removal for Sponsor breach or legal risk does not trigger a refund.
8.3 Link attributes (e.g., rel=”sponsored”/”nofollow”) are set at the Publisher’s discretion to meet policy and compliance standards.
8.4 The Publisher controls placement and prominence across pages and issues. No specific placement is guaranteed unless expressly agreed in writing.


9. Labeling & Integrity

9.1 Sponsored content is clearly labeled as such.
9.2 Editorial independence is maintained at all times. Sponsorship does not entail control over the Publisher’s editorial judgments.


10. Warranties & Indemnity (Sponsor)

10.1 The Sponsor warrants that Materials and statements supplied are accurate, lawful, non-infringing, non-defamatory, and compliant with privacy and publicity rights.
10.2 The Sponsor agrees to defend, indemnify, and hold harmless the Publisher, its officers, employees, and contributors from claims, damages, costs, and liabilities (including reasonable legal fees) arising from Materials or Sponsor-supplied information.


11. Analytics & Reporting

11.1 On request, the Publisher may provide a one-time performance summary (e.g., impressions and reads) after 30 days from publication. Raw data access is not provided.
11.2 The Publisher does not guarantee audience numbers or outcomes.


12. Refunds

12.1 Except as set out in §6, all fees are non-refundable once the draft is approved.
12.2 If the Publisher cannot deliver the Publication for reasons solely attributable to the Publisher (and not force majeure or Sponsor breach), the Publisher will either (a) reschedule within a commercially reasonable window, or (b) refund the fee at the Publisher’s option. This is the Sponsor’s exclusive remedy.


13. Confidentiality

13.1 Non-public information shared for the purpose of the Publication is kept confidential and used only for producing the Publication, unless disclosure is required by law or consented to in writing.


14. Data Protection

14.1 Each party processes personal data in accordance with applicable data protection laws (including GDPR where applicable) and the Publisher’s Privacy Policy.
14.2 The Sponsor confirms it has a lawful basis to share any personal data included in Materials.


15. Limitation of Liability

15.1 To the maximum extent permitted by law, the Publisher’s aggregate liability under this Policy is limited to the amount paid for the relevant Publication.
15.2 The Publisher is not liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, goodwill, or data.


16. Force Majeure

16.1 Neither party is liable for delay or failure caused by events beyond reasonable control (including outages, strikes, war, epidemics, governmental actions). Performance resumes as soon as practicable.


17. Non-Exclusivity

17.1 This Policy does not grant exclusivity. The Publisher may feature other galleries, institutions, or competing programs.


18. Governing Law & Venue

18.1 Governing law: Finland (without regard to conflict of law rules).
18.2 Exclusive venue: Helsinki District Court, unless mandatory law provides otherwise.


19. Order of Precedence & Changes

19.1 If a Campaign Addendum (signed order) conflicts with this Policy, the Addendum prevails for that campaign.
19.2 The Publisher may update this Policy from time to time; the version in effect at draft approval governs the Publication.
